STI Granite India Ltd has informed that the members of the Company will consider to approve by way of Postal Ballot the Special Resolution relating to modifications to the original terms and conditions as prescribed either in the Debenture Certificate, Debenture Trust Deed, Charge filed with the Registrar of Companies, Memorandum & Articles of Associations of the Company and / or any of the resolutions passed by the shareholders or Debenture Holders earlier or the settlement of Debenture holders as may have been made earlier by the Company or the terms and conditions as may have been mentioned in any other documents in respect of such debentures and that this approval of the debenture holders may be considered as an unconditional and irrevocable approval for settlement of all the outstanding dues of Debenture holders as proposed herein by the Company, subject to necessary provisions & approvals.
The Company has appointed Mr. S Govinda Rao, a Senior Chartered Accountant, Bangalore, as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer on or before the close of working hours on October 25, 2008. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced on October 26, 2008.
